New company registration.
Limited Liability Company (sp. z o.o.)
Registering a Limited Liability Company (sp. z o.o.) in Poland involves several stages, culminating in the company’s entry into the Polish Company Register (KRS). The process can be broken down into the following straightforward steps:
Complete Company details:
First, you need to decide on key formalities, including shareholders, board members, their representation powers, share capital amount, registered address, and other essential details. For a full list of required information, please contact us.
Signing the Articles of Association:
Once the key details of the company are decided, we draft the articles of association. These must be executed as a notarial deed and signed in the presence of a public notary. If visiting Poland is not an option, we can prepare a Power of Attorney (PoA) for you.
Preparing the Registration Application:
This step involves completing an official form, which must be signed using a trusted profile (an electronic signature available only to individuals with a PESEL number). If you do not have a PESEL, the form can be signed by a licensed lawyer, which we can arrange for you.
The entire registration process usually takes around one month to complete.
After the company is registered, we can assist in obtaining a PESEL number for board members and prepare the CRBR form, which is required by banks.
